II. Company Profile

China National Heavy Duty Truck Group Liuzhou Yunli is a specialized manufacturer of special-purpose vehicles and automotive components. It is the largest heavy-truck–specific vehicle producer in Southwest China and serves as CNHTC’s southern base for the production of special-purpose vehicles as well as a strategic hub for its export operations in ASEAN.

The company’s main products are the “Yunli” brand of various specialized vehicles and equipment, encompassing five major product lines: tank trucks, dump trucks, sanitation vehicles, agricultural and pastoral vehicles, and snow-removal vehicles.

III. Material Matters During the 2021 Fiscal Year

1.2021 In March of this year, the legal representative of Liuzhou Yunli Company was changed from Xu Xiangyang to Wang Dechun; at the same time, the composition of the company’s board of directors was adjusted: Xu Xiangyang was removed from his position as chairman, and Wang Dechun was appointed as chairman; Chi Lei was removed from his position as director, and Song Jinjin was appointed as a director. Following these changes, the members of the board of directors are: Wang Dechun (Chairman), Song Jinjin, Li Yalu, Zeng Qinghua, and Tang Yilin.

For any items that, according to law, require approval, such activities may only be carried out upon obtaining approval from the relevant authorities.
