Our company is conducting a tender for labor dispatch services and hereby cordially invites your organization to submit a bid. Should you be invited to participate, please follow the procedures and requirements set out below:

1. Project Name: Labor Dispatch Services

2. Bidders participating in the tender must carefully read the Instructions to Bidders and all other contents of the Tender Documents to avoid any errors.

2. Bidding Instructions条款

2.1 Party A: the tendering party, namely China National Heavy Duty Truck Group Liuzhou Yunli Special-Purpose Vehicle Co., Ltd. and its subsidiaries.

Party B: Bidder

2.2 Bid-related qualification documents:

Copy of business license, financial statements for the past three years, certificate of legal representative or power of attorney, statutory Representative and copies of the authorized representative’s identity card, the remittance slip for the bid bond, and relevant performance certificates, among others.

2.3 Bidders shall submit a relevant labor dispatch service proposal.

2.4 The subject of this tender is labor dispatch services.

2.5 Bid Price: Shall be based on the Bid Opening Summary Table (see Attachment ) Provide a detailed itemized quotation in the specified format.

2. Fee Settlement

Party A shall make the corresponding payments in cash on a monthly basis.

Chapter 3 Bid Opening

Party A shall conduct the public bid opening at the prescribed time and in the prescribed venue, and shall invite the legal representative (or head of the entity) of each Party B, or their duly authorized agent, to attend on time. Failure by a bidder to attend the bid opening shall be deemed as acceptance of the bid-opening results.

Chapter Four Bid Evaluation

Party A shall organize relevant subject-matter experts to conduct the bid evaluation, which shall be conducted in accordance with the principles of fairness, impartiality, scientific rigor, and selection of the best proposal. The specific evaluation criteria are set forth in the Instructions to Bidders, and Party A shall notify all bidders of the evaluation results.

Chapter 5 Contract Signing

The tendering entity and the successful bidder shall, within the period starting from the date of issuance of the notice of award, 10 Within the same day, a written contract shall be executed in accordance with the tender documents and the successful bidder’s tender submission. If the successful bidder refuses to sign the contract without just cause, or if the successful bidder imposes additional conditions upon signing, the procuring entity shall have the right to disqualify the bidder, and the bid bond shall not be refunded; moreover, if the losses incurred by the procuring entity exceed the amount of the bid bond, the successful bidder shall also be liable for compensating the excess.

Chapter Six Project Requirements

1. Establish a lawful employment relationship with dispatched workers, enter into labor contracts with them, and be responsible for the management of such labor contracts.

2. Dispatch qualified workers to Party A in accordance with the agreement between the two parties. With respect to any dispatched workers that Party A, pursuant to the requirements of this Agreement, requests to be recalled and returned to Party B, Party B shall accept such workers and assume responsibility for managing the employment relationship with them.

3. Responsible for the management of dispatched workers’ personnel files, including the establishment and transfer of such files.

4. Party B shall be responsible for handling the recruitment procedures and paying social insurance contributions on behalf of the dispatched workers. Party B shall retain valid payment receipts for all social insurance contributions made on behalf of the dispatched workers for inspection purposes. Party B shall, in accordance with the standards prescribed by local regulations, make full and timely payments of all social insurance contributions for the dispatched workers. If Party B fails to make such payments in full and on time, Party B shall, in accordance with applicable laws, regulations, and local standards, be responsible for making up the outstanding social insurance contributions in their entirety and shall bear all losses arising therefrom. Party A shall bear no liability in this regard.

5. During any gap in social security contribution coverage for the labor dispatch personnel seconded by Party B to Party A, Party B shall be responsible for purchasing commercial insurance for such personnel, with the associated costs borne by Party A. In the event of a work-related injury, any shortfall remaining after the commercial insurance claim is settled shall be shared equally by both Party A and Party B. 50%.

6. Work-related injury accident involving dispatched workers In the event of a third-party injury accident caused by work-related injury, Party B shall, upon receipt of notice from Party A, handle the matter in accordance with the Regulations on Work Injury Insurance, be responsible for filing claims and processing compensation, and bear all resulting liability for damages. If Party B fails to act in a timely manner or handles the matter improperly, resulting in aggravation of injuries or losses, Party B shall bear the corresponding liability.

7 . Work-related injury accident involving dispatched workers Expenses that, in accordance with national regulations, shall be borne by the enterprise (including the out-of-pocket portion of work-related injury treatment and rehabilitation, caregiver fees, and the lump-sum disability employment subsidy upon termination of the labor contract, etc.) shall be shared equally by Party A and Party B.  50 %。

8. If a dispatched worker, during the period of employment with Party A, is unable to continue working due to illness and consequently terminates the labor contract with Party B, all expenses that, in accordance with national regulations, should be borne by the employing enterprise shall be fully borne by Party B.

9 Party B shall be responsible for comforting and receiving the families of dispatched workers who have suffered work-related injuries, as well as for providing policy explanations and clarifications to such families. All expenses incurred in connection with these responsibilities shall be borne by Party B.

10 Party B shall be responsible for submitting applications to the relevant authorities and handling matters related to the management of dispatched workers, such as family planning and political review.

11.  Party A, in accordance with the Measures for the Implementation of the Regulations on Employment of Persons with Disabilities in the Guangxi Zhuang Autonomous Region (Order No. … of the People’s Government of the Guangxi Zhuang Autonomous Region), No. 63), Guangxi Finance and Tax [ 2016 Notice No. 47, “Administrative Measures for the Collection, Use, and Management of the Employment Guarantee Fund for Persons with Disabilities in the Guangxi Zhuang Autonomous Region”: The employment guarantee fund for persons with disabilities shall be paid to Party B based on the number of employees dispatched by Party B, with Party B responsible for making the payment; alternatively, Party B may hire persons with disabilities in proportion to the number of employees it dispatches to Party A, in which case the associated costs shall be borne by Party A.

12 Party B shall instruct and train its employees to comply with Party A’s rules and regulations. If a dispatched worker violates Party A’s rules and regulations and thereby causes losses to the employing unit, such violation shall be deemed as evidence that Party B has failed to fulfill its duty of instruction and training, constituting a breach of the contract, for which Party B shall bear liability for breach damages. Upon assuming such liability for breach damages, Party B may, depending on the circumstances, pursue the dispatched worker’s liability. With respect to any damage caused by a dispatched worker during the period of employment with Party A—whether due to the worker’s own actions or to unlawful, non-compliant, or disciplinary violations—such damage shall be jointly and severally borne by the dispatched worker and Party B. Party A shall have the right to directly demand full compensation for all losses from Party B and to seek recovery thereof; moreover, Party A shall have the right to deduct the aforementioned compensation amounts directly from the labor service fees payable to Party B, and, in the event of any shortfall, to take other measures to require Party B to make up the difference.

13 Party B shall be responsible for providing pre-placement education on policies and laws, professional ethics training, and safety training to the dispatched workers; offering necessary advice and guidance; and truthfully disclosing information about Party A. During the term of the labor dispatch, Party B shall, on a regular or irregular basis (at least twice per month), monitor the dispatched workers’ ideological trends, work performance, and compliance with rules and regulations, and conduct management and educational activities directed at them; provided, however, that such activities shall not interfere with Party A’s day-to-day production and business operations.

14 Party B shall not charge dispatched workers any fees under the pretext of arranging employment; shall not withhold dispatched workers’ remuneration or social insurance contributions; shall not collect from dispatched workers any deposits or security bonds; and shall not retain dispatched workers’ identity cards, degree certificates, graduation certificates, or other relevant documents. In the event of a breach by Party B, Party B shall bear all resulting legal liabilities; if any competent authority requires Party A to assume such liabilities, Party A shall have the right to seek recourse against Party B.

15 If a dispatched worker has a dispute with Party A arising out of the performance of work, such dispute shall be resolved through consultation among Parties A and B and the dispatched worker. If no agreement is reached through consultation, Party B shall be responsible for handling the labor dispute with the dispatched worker in accordance with the statutory procedures.

16 Any dispatched workers returned by Party A to Party B shall not entitle Party A to any economic compensation or reimbursement of expenses; such matters shall be handled by Party B in accordance with the provisions of the Labor Law and the labor contract entered into between Party B and the dispatched worker, with all associated economic compensation and expenses borne by Party B.

17.  Party A shall collect from Party B a security deposit for labor dispatch employment safety risks, at A standard fee of RMB 50 per person shall be charged. The security risk deposit paid by Party B shall, upon the expiration of the Labor Dispatch Agreement signed by both Parties A and B, 45 Refund to Party B within the same day (only the principal of the security risk deposit shall be refunded; no interest shall be paid).

18 Within two days of receiving the labor service fees remitted by Party A, Party B shall issue invoices for such fees to Party A: a standard VAT invoice shall be issued for wages paid on behalf of Party A and for social insurance premiums withheld and remitted on its behalf; a special VAT invoice shall be issued for the labor dispatch management fee.
