Chapter 2 Instructions for Bidding

1 1. Preliminary Schedule of Instructions to Bidders

2 1. Bidding Instructions条款

2.1 Party A: The Tendering Party (China National Heavy Duty Truck Group Liuzhou Yunli Special-Purpose Vehicle Co., Ltd.)

Party B: Bidder

2.2 The bidder shall submit the relevant qualification documents, including qualification certificates, a copy of the business license, the organization code certificate, equipment manufacturing and installation certificates, proof of the legal representative, a power of attorney, and photocopies of the identification cards of both the legal representative and the authorized representative.

2.3 The bidder shall have been in business for at least three years (calculated from the date of issuance of its business license to the day of bid opening); the bidder’s approved scope of business must cover the civil engineering, installation, or interior decoration and fit-out works it has selected; and the registered capital shall be no less than RMB 5 million.

2.4 The subject of this tender is the civil engineering construction project for the adjustment of the snow removal vehicle production line.

2.5 Bidding Price: A detailed quotation shall be provided in accordance with the schedules in Chapter 9 (prices are quoted inclusive of tax).

3 , Expense Settlement

3.1 Payment Method: Party A shall make the corresponding payment by way of a six-month electronic acceptance bill.

3.2 Upon successful completion and acceptance of the project, Party B shall, in accordance with the agreed settlement cycle, submit complete settlement documentation to a third-party auditing firm approved by both parties for audit (with audit fees borne by the contractor), and settlement shall be conducted based on the audited amounts. Party B shall also provide a special value-added tax invoice that is consistent with the settled amount and complies with national requirements; upon verification by Party A in accordance with its financial regulations and confirmation of accuracy, 30 Pay the audited and settled project amount within one working day. 95% , the audit settlement amount for the remaining works 5% As a quality guarantee deposit, The quality guarantee deposit shall bear no interest during the warranty period, and any defects discovered in the works during such period shall result in a corresponding deduction from the deposit.

4 , Performance Bond

To ensure the performance of this Agreement, Party B’s bid bond shall be converted into a performance bond. If Party B unilaterally terminates the Contract midway, Party A shall not refund Party B’s performance bond. Upon successful acceptance in accordance with the Contract requirements, Party A shall refund Party B’s performance bond within 20 working days.

5 , Quality Control

Party B shall, in accordance with the scope of work awarded under the bid, ultimately obtain acceptance by Party A in compliance with national or industry standards.

5.1 For the installation of equipment that is subject to inspection by the state or relevant industry authorities, Party B shall handle the requisite procedures in accordance with such inspection requirements and ensure that the equipment passes the acceptance inspection.

5.2 The warranty period for construction works and equipment installation is one year.

6 , Liability Protection

6.1 Party A’s Responsibilities:

(1) Provide the site required for construction and the materials specified in the documents.

(2) Upon fulfillment of the construction conditions, Party B shall be notified two days in advance to commence construction.

6.2 Party B’s Responsibilities:

(1) Party B shall be responsible for organizing construction in accordance with the scope of the winning bid and the schedule specified by Party A, and the work must ultimately pass Party A’s acceptance inspection.

(2) With respect to equipment that is subject to inspection by the state or relevant industry authorities, if the performance of the equipment as specified in Party B’s documentation or upon completion of installation fails to meet the requirements stipulated by such inspections, Party B shall be liable for breach of contract, and shall bear full responsibility for any economic losses incurred by Party A as a result.

6.3 Upon entering Party A’s premises, Party B’s personnel shall comply with Party A’s relevant management regulations, bring and use qualified safety equipment and personal protective equipment, ensure safe and civilized construction practices, and adhere to applicable occupational safety and health regulations. Any occupational safety accidents occurring during the course of construction, or any personal injury or property damage caused to third parties, shall be the sole responsibility of Party B.

Chapter 3 Bid Opening

Party A shall conduct the bid opening at the prescribed time and in the designated venue, and shall invite the legal representative (or head of the entity) of each Party B, or their duly authorized agent, to attend on time. Personnel representing the bidders at the bid-opening meeting shall be thoroughly familiar with the key performance indicators and technical features of the equipment being tendered, so as to provide responses and clarifications during the evaluation process. Failure by a bidder to attend the bid-opening shall be deemed as acceptance of the bid-opening results.

Chapter Four Bid Evaluation

1 1. Party A shall organize relevant professionals to conduct the bid evaluation, which shall be carried out through multiple rounds of bidding and a tiered elimination process. Determine the winning bidder, No explanations will be provided to unsuccessful bidders. 。

2 1. If a tender document falls under any of the following circumstances, the Evaluation Committee shall treat it as non-responsive to the tender documents or as an invalid bid:

1 ) The sample does not comply with the requirements stipulated in the tender documents;

2 ) Where the tender document is not stamped by the bidder, or where it is not signed or stamped by the legal representative or by an authorized agent duly authorized by the legal representative;

3 ) Not sealed or completed in accordance with the prescribed format, with incomplete content or illegible key information that cannot be identified;

4 ) Where a bidder submits two or more quotation documents with differing contents, or includes two or more quotations for the same procurement item in a single quotation document without specifying which one is valid, except where alternative proposals are submitted in accordance with the provisions of the tender documents;

5 ) The bidder’s name or organizational structure is inconsistent with the qualification review;

6 ) The bidder fails to provide the bid bond as required by the tender documents;

7 ) Where the content of tender documents submitted by different bidders is abnormally consistent;

8 ) Where the tender documents of different bidders are intermingled;

9 ) Where different bidders entrust the same person to submit bids;

10 ) Where different bidders use the same individual’s or enterprise’s funds to pay the bid bond;

11 ) Failing to comply with the substantive requirements in the tender documents regarding delivery schedules, quality standards, warranty periods, and other such matters;

12) Providing false materials to obtain the bid;

13 ) Any other activities intended to compromise the fairness of the tender outcome.

Chapter 5 Contract Terms

Contract Execution: The contract shall be executed within 2 days of receipt of the notice of award.

Chapter 6: On-Site Investigation

The tendering party will uniformly organize a site inspection for all bidders at 14:00 on April 12, at the construction site.

Chapter 7 Preparation of Bidding Documents

1、 The bidder’s tender document consists of three parts: qualification certification documents, the technical section of the tender document, and the commercial section of the tender document. 。

Chapter 8: Project Renovation Scope

8.1 Project Technical Requirements:

1. Constructing and commissioning a carport

1.1 Commissioning the hardening of the carport floor, with a hardened area of 280 ㎡, use C30 Concrete pouring 20cm Thick;

1.2 Commissioning the carport construction; the carport is to be built at the same height as the south-facing profile storage building, with a roof made of 5.0 Thick single-layer color steel roofing, area 260 ㎡, column 8 Root, adopt 220 Hot-dip galvanized round pipe;

1.3 Adjust the perimeter of the carport; the east and north sides of the carport shall use 5.0 Thick single-layer color steel roofing around the perimeter, with transparent roofing panels used for spacing to ensure adequate daylighting; perimeter area 310 square meters.

2 The canopy at the northeast corner of the Phase III workshop encloses a warehouse.

2.1 The footprint of the warehouse enclosed by the canopy 42 ㎡, columns are used 120*120*2.5 Thick hot-dip galvanized square tube, tiles used 5.0 Thick single-layer color steel roofing;

2.2 The perimeter area of the warehouse enclosed by the canopy 138 ㎡, tiles used 5.0 Thick single-layer color steel roofing.

3 1. Renovation of the hydraulic commissioning shed in the Phase III workshop

3.1 Remove the rolling shutters of the Phase III hydraulic commissioning prefabricated building;

3.2 Open a tall window on the south side of the hydraulic commissioning control room. 2m , wide 1.2m the door;

3.3 Install a door at the location where the rolling shutter is removed. 12mm Thick 2m *4m Transparent tempered glass, with tempered glass used on the top and bottom edges. 5cm Edge sealing with thick rock wool boards.

4 , Add 1 Temporary Debugging Cabin

4.1 The land area of the newly added prefabricated buildings is 7m * 7.5m = 52.5 ㎡, the total perimeter area is 86 square meter ；

4.2 Add a tall window to the prefab building. 2m , wide 1.2m the door;

4.3 Add one door to the prefab building. 12mm Thick 2m*5m Transparent tempered glass, with tempered glass used on the top and bottom edges. 5cm Edge sealing with thick rock wool boards.
