Chapter One      Invitation to Bid

Our company is conducting a tender for power trading services for the year 2026 and hereby cordially invites your organization to submit a bid. Should you be invited to participate in the bidding process, please follow the procedures and requirements set out below:

4 Bidders participating in the tender must carefully read the Instructions to Bidders and all other contents of the Tender Documents to avoid any errors.

5 , Submission of Bidding Documents

5.1 Submission Deadline: Bids must be submitted in writing no later than 12:00 noon on December 18, 2025, together with a bid bond of RMB 10,000. The bid bond shall be remitted from the bidder’s primary bank account to the following account, with the remark “Bid Bond for [Project Name]” clearly indicated on the remittance slip. Submissions received after the deadline will not be accepted. The bid bonds of unsuccessful bidders will be refunded within five business days following the announcement of the tender results; the bid bond of the successful bidder will be converted into a performance bond.

2 1. Bidding Instructions条款

2.1 Party A: the tendering party, namely China National Heavy Duty Truck Group Liuzhou Yunli Special-Purpose Vehicle Co., Ltd.

Party B: Bidder

2.2 Bidding-related qualification documents:

2.2.1 Bidders must be legal entities registered within the People’s Republic of China, possess independent civil liability capacity, and have a registered capital of no less than RMB 50 million.

2.2.2 Bidders shall submit a copy of their business license, a power of attorney, copies of the identification cards of the legal representative and the authorized representative, a copy of the remittance slip for the bid bond, a copy of the performance guarantee letter for the Guangxi Electricity Trading Market, and other supporting documents that demonstrate the bidder’s capabilities.

2.2.3 Bidders must be power sales companies or power generation enterprises that have formally obtained power sales qualifications and completed registration with the Guangxi Electricity Trading Center.

3 , Fee Settlement and Payment

3.1 Settlement and payment of electricity quantities and charges shall be conducted in accordance with the relevant provisions on market-based electricity transaction settlement and payment issued by the Guangxi Electricity Trading Center.

3.2 If, after the bidder has adjusted the tenderer’s power output, a deviation in the tenderer’s power output still arises, all associated deviation penalty charges shall be borne by the bidder.

4 , Performance Bond

To ensure the performance of this Agreement, the Bidder’s bid bond shall be converted into a performance bond. If the Bidder unilaterally terminates the Contract prior to its completion, the Tenderee shall not refund the Bidder’s performance bond. However, upon fulfillment of all contractual obligations and upon expiration of the Contract Term without any disputes between the Parties, Party A shall refund Party B’s performance bond within 5 to 20 business days.

Chapter 3 Bid Opening

Party A shall conduct the public bid opening at the prescribed time and in the designated venue, and shall invite the legal representative (or head of the entity) of each Party B, or their duly authorized agent, to attend on time. Personnel representing the bidders at the bid-opening meeting shall be thoroughly familiar with the logical consistency and other relevant aspects of the bid submissions, so as to provide responses and clarifications during the evaluation process. Failure by a bidder to attend the bid-opening shall be deemed as acceptance of the bid-opening results.

Chapter Four Bid Evaluation

4.1 Evaluation Criteria

Party A shall organize relevant professionals to conduct the bid evaluation, which shall be conducted in accordance with the principles of fairness, impartiality, scientific rigor, and selection of the best proposal. The “Comprehensive Evaluation Method” shall be adopted, under which the members of the Bid Evaluation Committee shall comprehensively evaluate the bid documents and commitments submitted by all bidders, and select the winning bidder based on the results of the preliminary evaluation and the comprehensive evaluation.

4.2 If a tender document falls under any of the following circumstances, the Evaluation Committee shall treat it as non-responsive to the tender documents or as an invalid tender:

1 ) Where the tender document is not stamped by the tendering party, or where it is not signed or stamped by the legal representative or by an authorized agent duly authorized by the legal representative;

2 ) Not sealed or completed in the prescribed format, with incomplete content or illegible key information that cannot be identified;

3 ) If a bidder submits two or more quotation documents with differing contents, or includes two or more quotations for the same procurement item in a single quotation document without specifying which one is valid—except where alternative proposals are submitted in accordance with the tender documents;

4 ) Where the bidder’s name or organizational structure is inconsistent with that verified during the qualification review;

5 ) The bidder fails to provide the bid bond as required by the tender documents;

6 ) Where the content of tender documents submitted by different bidders is abnormally consistent;

7 ) Where tender documents from different bidders are mixed and packaged together;

8 ) Where different bidders entrust the same person to submit bids;

9 ) Where different bidders use the same individual’s or enterprise’s funds to pay the bid bond;

10) Providing false materials to obtain the bid;

11 ) Any other activities intended to compromise the fairness of the tender outcome.

Chapter 5 Contract Terms

The tendering entity and the successful bidder shall, within three days from the date of issuance of the Notice of Award, enter into a contract in accordance with the standard contract template provided by the Guangxi Electricity Trading Market; the construction period shall be calculated from the date on which the Notice of Award is issued. If the successful bidder, without just cause, refuses to sign the contract, imposes additional conditions upon signing, or fails to submit the performance bond as required by the tender documents, the tendering entity shall have the right to disqualify the bidder, and the bid bond shall not be refunded. Furthermore, if the losses incurred by the tendering entity exceed the amount of the bid bond, the successful bidder shall also compensate for the excess.

Chapter Six Preparation of Tender Documents

6.1 Composition of the Bid Document

1 ) Bid-related qualification documents (copy of business license, power of attorney, copies of the legal representative’s and the authorized representative’s identification cards, copy of the bid bond remittance slip, copy of the performance bond for the Guangxi Electricity Trading Market, and other materials that can demonstrate the bidder’s capabilities, etc.);

2 ) Relevant supporting documents demonstrating inclusion in the Guangxi Commission of Industry and Information Technology’s roster of electricity sales companies;

3 ) Performance verification documents for the bidder’s projects over the past two years;

4 ) Electricity Trading Quotation (see attachment) , additional information may be provided separately. ), the transaction price provided by the bidder (referring to the grid-connection price for market-based electricity transactions on the power sales side, excluding transmission and distribution tariffs, government funds and surcharges, market profit-and-loss sharing, and peak-valley price differentials, among others).

5 ) Other: Provide truthful and accurate information and materials related to Guangxi power trading; however, no false or misleading information shall be provided for the tenderer’s reference.

Chapter 7   Project Content

7.1 Tender Content

1 ) From January 1, 2026, to December 31, 2026, in accordance with the relevant regulations of the Guangxi Electricity Trading Center and based on the tenderer’s electricity consumption patterns, the agent shall provide market-based electricity trading services for the production and operation activities of China National Heavy Duty Truck Group Liuzhou Yunli Special-Purpose Vehicle Co., Ltd.
